What is the Opportunity?
Reporting to the Director, Corporate Legal, the successful candidate will provide timely, practical advice on corporate and securities matters throughout the business, including M&A, financings, corporate governance, securities compliance, commercial transactions and strategic investments and will work collaboratively with internal stakeholders, external counsel and other advisors.
 
What You'll Do Here:
  • Advise on mergers, acquisitions, divestitures, strategic investments and other corporate transactions and draft, review and negotiate transaction documents
  • Prepare and review corporate resolutions, organizational documents, disclosure materials and regulatory filings
  • Advise on securities laws and regulatory requirements applicable to Aecon and support Aecon’s public Board of Directors, including preparation of Board materials
  • Support public and/or private securities offerings, financings and capital markets transactions
  • Assist with the development, implementation and updating of Aecon’s corporate policies and procedures
  • Instruct and manage outside counsel, including strategy, work product, and business alignment.
 
What You Bring to the Team:
  • Member in good standing with the Law Society in Ontario
  • Post-call legal experience: 2-4 years as a corporate and/or securities counsel at a major law firm or as in-house counsel at a Canadian public company
  • Transactional experience including domestic and cross-border M&A is a strong asset
 
Practical Legal Judgment and Business Acumen
  • Provide clear, practical advice that appropriately balances legal risk and operational objectives.
  • Translate complex legal issues into actionable recommendations for stakeholders.
  • Exercise sound judgment in sensitive, high-risk, and time-critical matters.
 
Stakeholder Partnership and Influence
  • Build credibility with functional groups, including corporate finance, tax, procurement, information services and human resources.
  • Use a collaborative, solutions-oriented approach.
  • Communicate legal risk clearly and concisely, both verbally and in writing.
 
Execution and Organizational Skills
  • Make sound decisions involving complex information and dynamic situations.
  • Manage multiple priorities, projects and advisory matters with attention to detail while meeting timelines.
  • Operate independently while collaborating across a complex, matrixed organization.

The expected salary range for this role is $135,000-$160,000 per year

 

Individual pay is determined based on several factors, including work location, education, experience, unique skills and job conditions. Other considerations may includecertifications, specialized training, and the complexity or scope of the role.
